Honesty is always the best policy. Tell her how you feel, good and bad. After hearing it neither of you may want to persue a friendship any longer and it might be in the best interest for the both of you.
Another honesty note: If she isn't gonna tell her "boyfriend", be sure he finds out. No point in him hunting you down for something she did wrong.
